These Terms of Service ("Terms") govern your access to and use of the Trovn platform, including the web application at app.trovn.io, the marketing website at trovn.io, and all related services, features, and content (collectively, the "Service"), provided by C.I. Industries ("Trovn," "we," "us," or "our"), located in Sarasota, Florida, United States.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account

1.1 Who Can Use Trovn

The Service is designed for web design agencies, freelance web designers, and related professionals. To use the Service, you must:

Be at least 18 years of age.
Have the legal capacity to enter into a binding agreement.
Provide accurate and complete registration information.
Not be prohibited from using the Service under any applicable law.

1.2 Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect any unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

2. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service for any illegal, fraudulent, or harmful purpose.
Send spam, unsolicited communications, or bulk messages using the Service.
Upload, transmit, or distribute malware, viruses, or other harmful code.
Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.
Scrape, crawl, or use automated means to access the Service in a manner that exceeds reasonable use or circumvents rate limits.
Use the Service to build websites or distribute content that promotes hate speech, violence, harassment, or discrimination.
Use the Service to infringe on the intellectual property rights of any third party.
Resell, sublicense, or redistribute access to the Service without our express written consent.
Interfere with or disrupt the integrity or performance of the Service.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate your account at our sole discretion if we determine that you have violated this Acceptable Use Policy.

3. Subscription Terms

3.1 Plans and Pricing

Trovn offers subscription-based plans (Starter, Pro, and Agency) as described on our Pricing page. All plans include access to all six Trovn tools with varying usage limits based on your selected plan.

3.2 Free Trial

New accounts are eligible for a 7-day free trial. No credit card is required to start the trial. During the trial, you have full access to all features of your selected plan. At the end of the trial period, your account will be downgraded unless you subscribe to a paid plan. No charges will be made without your explicit consent.

3.3 Billing

Subscriptions are billed monthly on the anniversary of your subscription start date. All payments are processed through Stripe. By subscribing, you authorize us to charge your designated payment method on a recurring basis.

3.4 Price Changes

We may change subscription prices from time to time. We will provide at least 30 days' advance notice of any price increase. Price changes will take effect at the start of your next billing cycle after the notice period. If you do not agree with a price change, you may cancel your subscription before the change takes effect.

3.5 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation is immediate and self-service. Upon cancellation:

Your subscription will remain active until the end of the current billing period.
No further charges will be made.
Your data will remain accessible for 30 days after your subscription ends, after which it may be permanently deleted.

3.6 Refunds

Subscription payments are non-refundable, except where required by applicable law. If you believe you have been charged in error, please contact us at [email protected] within 14 days of the charge.

4. Website Hosting Terms

4.1 Hosting Service

Trovn offers website hosting for sites built through the platform. Hosting is billed at $10 per month per deployed website, in addition to your subscription fee.

4.2 Hosting Payment

Hosting fees are charged on the same billing cycle as your subscription. If a hosting payment fails and is not resolved within 7 days, the affected website(s) will be taken offline until the outstanding balance is paid.

4.3 Uptime

We strive to maintain 99.9% uptime for hosted websites but do not guarantee uninterrupted service. We are not liable for downtime caused by factors beyond our reasonable control, including but not limited to infrastructure provider outages, DDoS attacks, or force majeure events.

4.4 Content Responsibility

You are solely responsible for the content of websites hosted through Trovn. We reserve the right to take down any hosted website that violates our Acceptable Use Policy, applicable laws, or the rights of third parties.

5. Domain Purchases

5.1 Domain Registration

Trovn facilitates domain name registration through our registrar partner, Porkbun, LLC. When you purchase a domain through the Service, you agree to Porkbun's registration agreement and ICANN's Registrant Rights and Responsibilities.

5.2 Non-Refundable

Domain name purchases are non-refundable. Once a domain is registered, the registration fee cannot be returned, as the registration is processed immediately by the registrar.

5.3 Auto-Renewal

Domains purchased through Trovn are set to auto-renew by default. Renewal charges will be processed to your payment method on file prior to the domain's expiration date. You may disable auto-renewal from your account settings at any time. If auto-renewal is disabled and the domain expires, you may lose ownership of the domain.

5.4 Domain Transfers

You may transfer domains purchased through Trovn to another registrar at any time after 60 days from the initial registration date, in accordance with ICANN transfer policies.

6. Intellectual Property

6.1 Your Content

You retain all ownership rights to the content you create, upload, or generate through the Service, including but not limited to client websites, images, text, designs, and code. You own your client work. Trovn does not claim any ownership of your content.

By using the Service, you grant us a limited, non-exclusive license to host, store, and display your content solely for the purpose of providing the Service to you.

6.2 Trovn Platform

The Service, including its original content, features, functionality, design, software, and branding (excluding your content), is and will remain the exclusive property of C.I. Industries. The Service is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software, nor may you reverse engineer or attempt to extract the source code, unless you have our written permission or applicable law allows it.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable, non-exclusive, royalty-free license to use, modify, and incorporate that feedback into the Service without any obligation to you.

7. Third-Party Services and APIs

The Service integrates with third-party services including Google (for OAuth, GA4, and GSC data access), Stripe (for payments), Porkbun (for domains), and DataForSEO (for SEO data). Your use of these integrations is subject to the respective terms and privacy policies of those third-party services. We are not responsible for the actions, content, or data practices of third-party services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL C.I. INDUSTRIES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to, use of, or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service;
- Unauthorized access, use, or alteration of your transmissions or content.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless C.I. Industries and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your use of the Service;
Your violation of these Terms;
Your violation of any rights of another party, including any intellectual property rights;
The content of any websites you build, host, or distribute through the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination:

Your right to use the Service ceases immediately.
We may delete your data after 30 days, unless legally required to retain it.
Provisions of these Terms that by their nature should survive termination will survive (including but not limited to ownership, indemnification, limitation of liability, and dispute resolution).

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

11.2 Jurisdiction

Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Sarasota County, Florida. You consent to the personal jurisdiction of such courts.

11.3 Informal Resolution

Before filing any legal claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the matter within 30 days.

12. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and C.I. Industries regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, infrastructure failures, or governmental actions.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date." For significant changes, we may also send you an email notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
