These Terms of Service ("Terms") govern your access to and use of the Trovn platform, including the web application at app.trovn.io, the marketing website at trovn.io, and all related services, features, and content (collectively, the "Service"), provided by Cyber Intelligence Industries LLC d/b/a C.I. Industries ("Trovn," "we," "us," or "our"), based in Sarasota, Florida, United States.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account

1.1 Who Can Use Trovn

The Service is designed for web design agencies, freelance web designers, and related professionals. To use the Service, you must:

Be at least 18 years of age.
Have the legal capacity to enter into a binding agreement.
Provide accurate and complete registration information.
Not be prohibited from using the Service under any applicable law.

1.2 Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect any unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

2. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service for any illegal, fraudulent, or harmful purpose.
Send spam, unsolicited communications, or bulk messages using the Service.
Upload, transmit, or distribute malware, viruses, or other harmful code.
Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.
Scrape, crawl, or use automated means to access the Service in a manner that exceeds reasonable use or circumvents rate limits.
Use the Service to build websites or distribute content that promotes hate speech, violence, harassment, or discrimination.
Use the Service to infringe on the intellectual property rights of any third party.
Resell, sublicense, or redistribute access to the Service without our express written consent.
Interfere with or disrupt the integrity or performance of the Service.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate your account at our sole discretion if we determine that you have violated this Acceptable Use Policy.

3. Subscription Terms

3.1 Plans and Pricing

Trovn offers subscription plans (Starter, Growth, and Agency) as described on our Pricing page. Plans differ in included tools, monthly credits, seats, included live sites and the platform fee on client payments. Some tools are available only on certain plans, as shown on the Pricing page.

Upgrades take effect immediately and are prorated for the rest of the current billing period. Downgrades take effect at your next billing date.

3.2 Free Trial

New accounts are eligible for a 7-day free trial with 400 credits. No credit card is required to start the trial. Collecting payments from your clients is not available during the trial. At the end of the trial, paid features stop unless you choose a plan. No charges will be made without your explicit consent. If you do not choose a plan, your trial account is paused, not deleted, and your data is kept for 30 days.

3.3 Billing

Subscriptions are billed monthly or annually, in advance, from your subscription start date. All payments are processed through Stripe. By subscribing, you authorize us to charge your designated payment method on a recurring basis until you cancel.

3.4 Price Changes

We may change subscription prices from time to time. We will provide at least 30 days' advance notice of any price increase. Price changes will take effect at the start of your next billing cycle after the notice period. If you do not agree with a price change, you may cancel your subscription before the change takes effect.

3.5 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation is immediate and self-service. Upon cancellation:

Your subscription will remain active until the end of the current billing period.
No further charges will be made.
Your data will remain accessible for 30 days after your subscription ends, after which it may be permanently deleted.

3.6 Refunds

Monthly plans: cancel anytime. You keep access until the end of the paid period. We do not give partial refunds for unused time.
First payment: your first subscription payment is refundable if you ask within 14 days. This applies once per customer.
Annual plans: refundable if you ask within 14 days of the purchase or of a renewal.
Non-refundable: credit top-ups, extra live site (hosting overage) charges and domain purchases.
Failed actions: you are never charged credits for a paid action that fails or produces an unusable result.

To request a refund, email [email protected] from your account email. Nothing in this section limits any refund right you have under applicable law.

3.7 Credits

Each plan includes a monthly credit allowance used by paid actions in the app. Monthly credits reset at the start of each billing period and do not roll over. Credit top-ups do not expire while your account is open. Credits have no cash value and cannot be transferred.

3.8 Payments From Your Clients

When you collect payments from your clients through Trovn, the money is paid into your own Stripe account and you are the seller. Trovn charges a platform fee on those payments (Starter 5%, Growth 3%, Agency 1%), in addition to Stripe's processing fees. You are responsible for refunds, disputes and chargebacks with your clients.

3.9 Beta Features

Some tools are labeled Beta. Beta tools are live and usable but still being finished. They may change, have limits, or behave unexpectedly, and are provided without any uptime or accuracy commitment.

4. Website Hosting Terms

4.1 Hosting Service

Trovn offers website hosting for sites built through the platform. Each plan includes a set number of live sites. Additional live sites are billed at $5 per month each, in addition to your subscription fee.

4.2 Hosting Payment

Hosting fees are charged on the same billing cycle as your subscription. If a hosting payment fails and is not resolved within 7 days, the affected website(s) will be taken offline until the outstanding balance is paid.

4.3 Uptime

We strive to maintain 99.9% uptime for hosted websites but do not guarantee uninterrupted service. We are not liable for downtime caused by factors beyond our reasonable control, including but not limited to infrastructure provider outages, DDoS attacks, or force majeure events.

4.4 Content Responsibility

You are solely responsible for the content of websites hosted through Trovn. We reserve the right to take down any hosted website that violates our Acceptable Use Policy, applicable laws, or the rights of third parties.

4.5 Fair Use

Hosting has no hard traffic cap. If a hosted site receives unusual traffic that affects the performance of the Service for other customers, we may limit or throttle that site. We will give you notice and work with you on a solution before taking further action.

4.6 Copyright and Takedown Requests

Trovn hosts websites that agencies build for their clients. If you believe a site hosted on Trovn infringes your copyright or other rights, or contains unlawful content, email [email protected] with the site address, a description of the material and your rights in it, and your contact details. We will review the request, may remove or disable access to the material, and will notify the agency responsible for the site. Agencies can respond to a takedown at the same address.

5. Domain Purchases

5.1 Domain Registration

Trovn facilitates domain name registration through our registrar partner, Porkbun, LLC. When you purchase a domain through the Service, you agree to Porkbun's registration agreement and ICANN's Registrant Rights and Responsibilities.

5.2 Non-Refundable

Domain name purchases are non-refundable. Once a domain is registered, the registration fee cannot be returned, as the registration is processed immediately by the registrar.

5.3 Auto-Renewal

Domains purchased through Trovn are set to auto-renew by default. Renewal charges will be processed to your payment method on file prior to the domain's expiration date. You may disable auto-renewal from your account settings at any time. If auto-renewal is disabled and the domain expires, you may lose ownership of the domain.

5.4 Domain Transfers

You may transfer domains purchased through Trovn to another registrar at any time after 60 days from the initial registration date, in accordance with ICANN transfer policies.

6. Intellectual Property

6.1 Your Content

You retain all ownership rights to the content you create, upload, or generate through the Service, including but not limited to client websites, images, text, designs, and code. You own your client work. Trovn does not claim any ownership of your content.

By using the Service, you grant us a limited, non-exclusive license to host, store, and display your content solely for the purpose of providing the Service to you.

6.2 Trovn Platform

The Service, including its original content, features, functionality, design, software, and branding (excluding your content), is and will remain the exclusive property of Cyber Intelligence Industries LLC. The Service is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software, nor may you reverse engineer or attempt to extract the source code, unless you have our written permission or applicable law allows it.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable, non-exclusive, royalty-free license to use, modify, and incorporate that feedback into the Service without any obligation to you.

7. Third-Party Services and APIs

The Service relies on third-party services including Stripe (payments), Google Maps and Places (lead search), Google (sign-in, Google Analytics and Search Console data access), DataForSEO (SEO data), Resend (email delivery), AI model providers (AI features), Porkbun (domains), and our hosting provider. AI-generated output can be inaccurate; review it before you use or publish it. Your use of these integrations is subject to the respective terms and privacy policies of those third-party services. We are not responsible for the actions, content, or data practices of third-party services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL CYBER INTELLIGENCE INDUSTRIES LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to, use of, or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service;
- Unauthorized access, use, or alteration of your transmissions or content.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Cyber Intelligence Industries LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your use of the Service;
Your violation of these Terms;
Your violation of any rights of another party, including any intellectual property rights;
The content of any websites you build, host, or distribute through the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination:

Your right to use the Service ceases immediately.
We may delete your data after 30 days, unless legally required to retain it.
Provisions of these Terms that by their nature should survive termination will survive (including but not limited to ownership, indemnification, limitation of liability, and dispute resolution).

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

11.2 Jurisdiction

Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Sarasota County, Florida. You consent to the personal jurisdiction of such courts.

11.3 Informal Resolution

Before filing any legal claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the matter within 30 days.

12. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cyber Intelligence Industries LLC regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, infrastructure failures, or governmental actions.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date." For significant changes, we may also send you an email notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
